Vendor Confidentiality and Intellectual Property Agreement (NDA)

1. Parties

This Non-Disclosure Agreement ("Agreement") is entered into between:

Interni Turnkey Project Contracting LLC, a company incorporated in Dubai, United Arab Emirates, with its principal office in Dubai (hereinafter referred to as "Interni"),

and

Any entity submitting the application form on www.interni.ae to be considered as a supplier or business partner (hereinafter referred to as the "Supplier").

2. Purpose

The purpose of this Agreement is to protect the confidentiality of information exchanged between the parties during the process of vendor registration, qualification, material evaluation, commercial negotiations, and any project-related collaboration involving FF&E products, materials, or services.

3. Definition of Confidential Information

"Confidential Information" includes but is not limited to:

  • Technical drawings, CAD/BIM files, product specifications
  • Project information, client identity, location, budget, and timeline
  • Pricing, quotations, cost breakdowns, margins, and sourcing
  • Material selections, samples, finishes, and mock-ups
  • Internal documentation, correspondence, and marked confidential files
  • Design files, renders, layouts, and execution methodologies

This includes all written, verbal, digital, visual, or physical disclosures.

4. Obligations of the Supplier

The Supplier agrees to:

  • Maintain strict confidentiality of all information received
  • Use information solely for collaboration with Interni
  • Not share or disclose information to third parties without written consent
  • Protect all files, samples, and documentation from unauthorized access
  • Not engage with Interni’s clients or consultants unless authorized
  • Not reuse Interni’s designs, documentation, or methodologies

5. Intellectual Property

All materials shared by Interni remain the exclusive property of Interni.

  • No reuse for other clients or projects without written consent
  • No publication or distribution of Interni materials externally
  • No commercialization of Interni-specific solutions

6. Duration

This Agreement is valid for five (5) years from the date of application. Intellectual property obligations remain valid indefinitely.

7. Remedies

  • Right to immediate injunctive relief
  • Right to claim damages and legal fees
  • Permanent exclusion from Interni’s vendor network

8. Governing Law and Jurisdiction

This Agreement is governed by the laws of the Dubai International Financial Centre (DIFC). Any disputes are subject to the exclusive jurisdiction of the Courts of the DIFC.

9. Acceptance

By submitting the supplier application and accepting this NDA on Interni’s website, the Supplier agrees to be legally bound by these Terms.
